Welcome to SureLink AI Inc. (“SureLink AI,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our standalone desktop application known as FileForge (the “Software” or “Services”).
FileForge is designed to operate entirely on your computer, completely on-device, and fully offline. No internet connection is required to use FileForge’s features. FileForge assesses, cleans, optimizes, and transforms files locally, including through intelligent agent-driven workflows, while keeping your data on your device.
By downloading, installing, accessing, or using the Software, you agree to be bound by these Terms. If you do not agree, you must not download, install, access, or use the Software.
These Terms form a legally binding agreement between you (“you” or “User”) and SureLink AI Inc. If you are using the Software on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
These Terms are intended to be consistent with SureLink AI’s broader terms available at https://www.surelink.com/terms-and-conditions, and to the extent any conflict exists as applied to FileForge, these FileForge Terms control for FileForge.
Content: Any files, folders, filenames, metadata, prompts, inputs, outputs, extracted text, transcriptions, descriptions, Q&A pairs, test results, datasets, JSONL exports, logs, or other materials that you provide to, generate through, or store or manipulate using the Software on your device.
File Operations: Any action the Software performs on your device, including without limitation: assessing files, suggesting actions, moving, copying, extracting, renaming, creating new files, generating derivative files (e.g., OCR-enabled PDFs), exporting datasets (e.g., JSONL), identifying duplicates, and any other processing, transformation, optimization, modification, or replacement of files.
Feedback: Any suggestions, ideas, enhancement requests, or other input you explicitly provide directly to SureLink AI or its personnel (for example via email or support channels) regarding the Software or our business.
Services: The FileForge Software and any related documentation, features, or functionality provided by us.
Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Software. By using the Software, you represent and warrant that you meet these requirements.
License and Usage
Subject to your compliance with these Terms, SureLink AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you own or control solely for your personal or internal business purposes.
You may not (and may not permit any third party to):
1. Copy, modify, distribute, sell, lease, rent, sublicense, or otherwise commercialize the Software except as expressly permitted by us in writing.
2. Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas or algorithms from the Software, except to the extent such restriction is prohibited by applicable law.
3. Use the Software for illegal, unauthorized, or competitive purposes.
4. Circumvent license controls or technical restrictions, or attempt to disable security-related features.
You are responsible for all activity that occurs through your use of the Software.
On-Device Operation and Offline Use
FileForge is designed to run locally on your device and does not require an internet connection to perform its core functionality. FileForge’s assessments, suggestions, and File Operations occur on-device.
YOU ACKNOWLEDGE AND AGREE THAT BECAUSE FILEFORGE RUNS ON YOUR DEVICE AND OPERATES ON YOUR LOCAL FILESYSTEM, SURELINK AI DOES NOT HAVE ACCESS TO YOUR CONTENT AND CANNOT RESTORE LOST OR DAMAGED FILES OR UNDO CHANGES MADE ON YOUR DEVICE.
Description of FileForge Features
• FileForge may include features such as:
• Suggestions and recommended actions
• Move / Copy / Extract files
• Rename files
• OCR (optical character recognition)
• Describe images
• Find duplicates
• Transcribe notes
• Transcribe audio/video files
• Generate Q&A pairs
• Run Q&A testing
• Export JSONL and related structured outputs
• Feature availability may vary by version, platform, configuration, or your device’s capabilities.
User Responsibilities
You agree to:
1. Use the Software in compliance with all applicable laws and these Terms, including privacy, data protection, recording consent, employment, and intellectual property laws.
2. Maintain appropriate safeguards for your device and Content, including access controls and endpoint security.
3. Maintain current backups of all files you process with the Software and validate results before relying on them.
4. Ensure you have all necessary rights, permissions, and consents to process Content, including third-party files, customer data, personal data, confidential information, images, and audio/video recordings.
5. Review and confirm File Operations before execution where applicable. You are solely responsible for selecting targets (files/folders), rules, and settings used by the Software.
6. Ensure that use of the Software in regulated contexts (legal, medical, financial, compliance, HR, etc.) is accompanied by appropriate human review and controls.
Prohibited Activities
You may not use the Software to:
• Process or generate Content in a manner that violates law, court order, contract, confidentiality obligation, or third-party rights.
• Facilitate malware, unauthorized access, surveillance, or other harmful activity.
• Misrepresent outputs as independently verified facts or as a substitute for professional judgment.
• Operate on devices or file repositories you do not own or lack permission to access.
We reserve the right to update or modify the Software to enforce restrictions or protect the integrity of the Software and our intellectual property.
Intellectual Property Rights
Our Intellectual Property
All rights, title, and interest in and to the Software (including code, algorithms, workflows, interfaces, designs, documentation, and related intellectual property) are and will remain exclusively owned by SureLink AI or its licensors. No rights are granted except as expressly stated in these Terms.
Your Content and Data Ownership
You retain all ownership rights in Content you supply to or generate with the Software. SureLink AI does not claim ownership of your Content.
You remain solely responsible for managing, backing up, securing, and ensuring the legal compliance of your Content and any outputs generated by the Software.
Feedback and Suggestions Ownership
If you explicitly provide Feedback directly to SureLink AI or its employees, you hereby assign to us all rights, title, and interest in and to such Feedback, including any intellectual property rights therein. We may use, modify, incorporate, and commercialize such Feedback without obligation to you, including without compensation or attribution. This assignment is perpetual, irrevocable, worldwide, and royalty-free.For clarity: this applies only to Feedback you directly provide to us and does not apply to Content you process locally in the Software unless you choose to share it with us.
Data Privacy
Because FileForge operates locally on your device and offline, SureLink AI does not receive your Content as part of normal Software operation.
If you voluntarily contact us (for example, to request support), you may choose to provide information to us. Our handling of information you voluntarily provide is described in our Privacy Policy at https://www.surelink.com/privacy-policy.
You are responsible for complying with all applicable data protection laws and obligations that apply to your Content, including any customer data or personal data you process using the Software.
AI, OCR, Transcription, and Output Disclaimer
The Software may generate outputs such as OCR text, image descriptions, note transcriptions, audio/video transcriptions, Q&A pairs, and test results. Outputs are generated algorithmically and may be inaccurate, incomplete, misleading, or contain errors.
You acknowledge and agree that:
• OCR and transcription may omit words, misidentify speakers, or introduce inaccuracies.
• Image descriptions may be incomplete or incorrect.
• Generated Q&A pairs and test results may not reflect ground truth.
• You are responsible for verifying outputs before using them for any purpose, including business, compliance, or decision-making.
SURELINK AI DISCLAIMS RESPONSIBILITY FOR THE ACCURACY, LEGALITY, OR QUALITY OF OUTPUTS AND FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON OUTPUTS.
Data Processing and File Modification Disclaimer
YOU ACKNOWLEDGE AND AGREE THAT THE SOFTWARE MAY CREATE, MOVE, COPY, EXTRACT, RENAME, OVERWRITE, DELETE, TRANSFORM, MODIFY, OR REPLACE FILES AND/OR FOLDERS ON YOUR DEVICE AS PART OF FILE OPERATIONS, INCLUDING WITHOUT LIMITATION: OCR-ENABLED FILE GENERATION, DUPLICATE-HANDLING WORKFLOWS, BULK RENAMING, REORGANIZATION, METADATA CHANGES, AND STRUCTURED EXPORTS (INCLUDING JSONL).
You are solely responsible for:
• Maintaining backup copies of all original files and folders prior to running File Operations;
• Confirming File Operations prior to execution;
• Reviewing results and confirming integrity, completeness, and correctness; and
• Configuring FileForge appropriately for your environment.
SURELINK AI DOES NOT GUARANTEE THAT ANY FILE OPERATION WILL BE REVERSIBLE OR THAT THE SOFTWARE WILL PROVIDE AN “UNDO” FUNCTION FOR ANY OR ALL OPERATIONS.
Disclaimer of Warranties; Limitation of Liability
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DEFECTS, OR THAT FILE OPERATIONS WILL BE ERROR-FREE OR PRODUCE ANY PARTICULAR RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SURELINK AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FOR THE AVOIDANCE OF DOUBT, SURELINK AI SHALL HAVE NO LIABILITY FOR ANY LOSS, ALTERATION, CORRUPTION, MISPLACEMENT, MISLABELING, UNINTENDED DISCLOSURE, OR DESTRUCTION OF DATA OR FILES ARISING FROM OR RELATING TO FILE OPERATIONS, INCLUDING WITHOUT LIMITATION MOVING, COPYING, EXTRACTING, RENAMING, OCR, TRANSCRIPTION, DUPLICATE PROCESSING, EXPORTS, OR REPLACEMENT OF ORIGINAL DOCUMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations of liability, so parts of the above may not apply to you. In such cases, liability is limited to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless SureLink AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) your use of the Software; (b) your Content; (c) File Operations you initiate or authorize; (d) your violation of these Terms; or (e) your infringement or alleged infringement of any third-party rights.
Termination
You may stop using the Software and uninstall it at any time.
We may terminate or suspend your license if you materially breach these Terms. Upon termination, your right to use the Software ends immediately.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
Because the Software operates on-device, termination of these Terms does not remove Content residing on your device.
Software Updates
We may provide updates to improve functionality, performance, or security. Updates may be delivered through installers or other mechanisms. You are responsible for installing updates.
Unless you voluntarily provide information to us, no Content from your device is transmitted to us as part of ordinary Software operation.
Updates to Terms
We may update these Terms from time to time. We will post updated Terms on our website and/or include updated Terms with Software updates. Your continued use of the Software after the effective date of revised Terms constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Software.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Colorado, without regard to conflict of laws principles.
Any disputes arising from or related to these Terms or the Software shall be resolved exclusively in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction and venue in those courts.
Before initiating formal proceedings, you agree to provide written notice of the dispute and allow thirty (30) days for informal resolution efforts.
Miscellaneous
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
No Waiver: Failure to enforce any right is not a waiver.
Entire Agreement: These Terms constitute the entire agreement between you and us regarding FileForge.
Assignment: We may assign these Terms without your consent; you may not assign without our prior written consent.
Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
